Following years of growth and profitability, Novantas’ founder-led team began to receive significant inbound interest from several parties. Aware of M&A’s expertise in advising founder-led companies, Novantas engaged M&A to help them explore their strategic and financial alternatives.
M&A organized a dedicated team to work closely with Novantas senior management to develop materials that would clearly communicate Novantas’ strengths, strategy and growth potential. M&A then worked with the company to identify and communicate with a select number of highly relevant strategic partners and financial sponsors that had demonstrated industry knowledge. With M&A’s guidance, the company’s management vetted these potential partners and met with representatives. M&A then worked with management to negotiate deal terms that were highly attractive for current shareholders and that provided upside potential for management to continue on post-transaction. After finalizing appropriate terms, management agreed to form a joint venture with Informa Financial Intellience’s FBX division and Inflexion, a leading middle-market private equity firm, pending final regulatory approval.
M&A acted as the exclusive strategic and financial advisor to Novantas on its transaction with Informa and Inflexion. M&A leveraged its deep domain expertise to conduct a methodical and disciplined competitive process that resulted in multiple indications of interest and letters of intent, productive management meetings and a successful transaction.
M&A prepared detailed transaction marketing materials, conducted discussions with potentially interested parties, facilitated information exchange, advised the company on the negotiation and evaluation of alternative offers, managed preliminary and confirmatory due diligence reviews, and eventually helped the company agree to form an exciting new joint venture among Novantas, Informa and Inflexion.
